AVP Head of Legal Affairs

Executive recruitment company Monroe Consulting Group Philippines is recruiting on behalf of a Philippine energy company focuses on the generation, supply, and distribution of electricity, as well as the rehabilitation, operation, and management of power plants and related energy facilities across the Philippines.

Our client is seeking AVP - Head of Legal Affairs who will be responsible for integrating strategic business growth initiatives with strong legal governance and risk management. The role supports enterprise expansion by identifying and structuring commercial opportunities while ensuring legal compliance, contract integrity, and regulatory alignment.

The position provides legal oversight on transactions, partnerships, and operational matters while actively contributing to revenue growth, market expansion, and corporate development initiatives. It also extends legal advisory and transactional support to other business units within the Group of Companies, ensuring alignment with overall corporate objectives and governance standards.

This role is based in Makati City, with a flexible output based work arrangement.

Key responsibilities:

Business Development & Strategic Project Support

  • Provides legal leadership in evaluating and executing new power generation and energy investment opportunities.
  • Oversees legal due diligence for investments, acquisitions, joint ventures, and partnerships.
  • Advises on transaction structuring, risk allocation, negotiations, and deal execution.
  • Collaborates with business teams to ensure legally sound and commercially viable project development.


Legal Advisory & Regulatory Compliance

  • Conducts legal due diligence for land acquisitions and power projects.
  • Monitors regulatory developments and advises management.
  • Provides strategic legal advice on compliance matters (energy, labor, safety, health, environment).


Contract Management & Documentation

  • Drafts, reviews, and negotiates complex commercial agreements (EPC, O&M, SPAs, etc.).
  • Ensures contracts align with risk management policies and strategic objectives.
  • Prepares legal opinions, memoranda, pleadings, and certifications.


Regulatory & Government Liaison

  • Builds partnerships with DOE, ERC, and other regulatory bodies.
  • Represents the organization in consultations, proceedings, and negotiations.
  • Coordinates with external counsel for case management and representation.


Risk Management & Dispute Resolution

  • Identifies and mitigates legal risks in business development and projects.
  • Manages and resolves disputes, claims, or violations.
  • Provides ongoing legal support on corporate matters.


Enterprise & Group Legal Support

  • Provides legal advisory and transactional support to other business units.
  • Assists affiliates and subsidiaries on corporate, commercial, and regulatory matters.
  • Ensures alignment of legal positions and documentation standards across the enterprise.
  • Other Duties: Performs tasks assigned by Management in support of business objectives.


Key requirements:

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from an accredited law school.
  • At least 36 hours of training related to the job.
  • At least 10 years' experience in corporate law, with strong focus on the energy sector, infrastructure projects, or commercial transactions.
