Legal Counsel (Renewable Energy),  Indonesia 

Executive recruitment company Monroe Consulting Group Indonesia is recruiting on behalf of a Multinational Renewable Energy Company for a Legal Counsel Role. As the company is continuously developing, our client is seeking a professional with strong law background with at least 5 years of experience in infrastructure, energy-related, or In-house law firms.  Key responsibilities will include:

General Transaction Support (Projects & Infrastructure/ Construction Background)

  • Assist with drafting & review all project documentation for rooftop, solar, ground-mounted solar for C&I Customers 

  • Advising on regulations in the Indonesians energy sector, energy, electricity, and related regulations 

  • Accompanying business development and project leads to meetings with counterparties and customers, ability to negotiate and draft during the meeting 

  • Help with general transaction support 

  • Liaise and manage relationships with local governments and regulatory authorities and bodies

  • Liaise with local legal and tax advisors 

  • Advice on local applicable law and regulations 

  • Advice on contractual structures for various energy as a service contracts includes heating and cooling solutions, energy efficiency 

  • Liaise with local ESG manager to assist on legal issues and ensure alignment of ESG policies and requirements in legal documents 

  • Maintain information and document flow among different parties and keeping legal counsel and investment manager in charge fully informed 

  • Assist finance transactions, corporate M&A documentation and drafting JV agreements or MoUs as required from time to time

General Corporate Counsel Support 

  • Local employment and consultant agreements 

  • Engagement and mandate letters 

  • Service agreements 

  • lease agreements 

  • Confidentiality agreements 

  • Immigration & other employment matters 

  • Disputes 

Company Secretarial (Overseeing outsourced corporate secretary)

  • Manage local investment structures and assist in the incorporation of tax-efficient structures 

  • Ensure all corporate approvals 

  • Carrying out ad-hoc regulatory and ROC related forms and fillings such as increase and allotment of authorized share capital 

  • Ensure periodic board meetings in-country

  • Ensure all corporate filings, record keeping, and KYC for all country entities 

  • Ensure any applicable regulatory reporting is carried out 

Corporate Governance 

  • Ensure ongoing compliance and report with local debt documents, project documents, and shareholder and investment agreements 

  • Implement Anti Bribery, Anti Money Laundering and Anti Corruption policies and procedures and provision of training on same 

  • Assist with “KYC” Procedures 

  • Managing local permits/licenses and maintenance/reporting under the same standard
